Below are our detailed terms and conditions (“Terms”) which define your rights, responsibilities and benefits as a user of the websites at productionposse.co.uk,

By accessing or using the Website or the services that we perform via the Websites (“Service”), you are concluding a legally binding agreement with us, based on these Terms, including all terms, conditions and policies incorporated herein by reference, including our Privacy Statement and Community Rules and Guidelines. If you don't agree with any of these Terms, or if you have any objections to our Websites Privacy Statement you must not use the Service or Websites.

It is important to read and understand these terms and conditions. Failure to adhere to these rules can result in legal action.

These Terms apply to all visitors to and new users registering on the Websites on or after 12th June, 2016 and to all users already registered or subscribing to the Websites on or after this date.

1. Overview
Production Posse is a membership site for filmmakers. It is designed, managed and maintained by Martlet ltd.
Users of the Service may be un-registered, registered, pay-per-view or paying subscribers. The different payment options and services offered for the different levels of access to records and other content on our Websites will be published on the relevant Website or at the time a subscription or other service is taken out and the terms and conditions applying to such subscriptions or other services are incorporated into these Terms.

Our websites are for the global community, and as such some terminology may be universal. If any terms seem to not fit your area, email us at: productionposse@iwf.co.uk for further clarity.

2. Your Use of the Website
The Website contain text, software, scripts, graphics, information, data, pictures, sounds, music, videos, interactive features, user generated information, editorial and other content accessible by Users (the “Content”). All Content is owned, licensed to and/or copyrighted by Production Posse and may be used only in accordance with this Agreement. The Websites are also protected by copyright as a collective work and/or compilation, pursuant to relevant copyright laws and international conventions. The trademarks, service marks and logos contained in the Websites are owned by or licensed to Production Posse. Production Posse, Martlet ltd and its licensors retain title, ownership and all other rights and interests in and to all information and Content on the Websites.

For the duration of your subscription, you may only access the Websites personally with an individual browser or mobile application (bots, crawlers, spiders, scraping and other automatic access tools are prohibited), use graphics, information, data, editorial and any other Content only for personal or professional film-making, and download Content only as results relevant to those projects. For example, the download of the whole or material parts of any work or database is prohibited. Resale of a work or database or portion thereof is prohibited. Online or other republication of Content is prohibited except as unique data elements that are part of a unique project. Violation of this limited use license may result in immediate termination of your membership and may result in legal action against you. When downloaded, Content remains subject to the limited use license contained in this Agreement. If you download or print a copy of the Content for personal use, you must retain all copyright and other proprietary notices contained therein.

Production Posse does not claim an exclusive right to images already in the public domain that it has converted into a digital format. However, the Websites contain images or documents that are protected by copyrights or that, even if in the public domain, are subject to restrictions on reuse. By agreeing to these Terms, you agree to not reuse these images or documents except that you may reuse public domain images so long as you only use small portions of the images or documents for personal use. If you republish public domain images, you agree to credit the relevant Website as the source of the digital image, unless additional specific restrictions apply. If you wish to republish more than a small portion of the images or documents from any of the Websites, you agree to obtain prior written permission from us.

Members may access the website and print/download materials and tools for individual use. Memberships are for a single-user and must not be shared. Production Posse materials must not be distributed to other people, whether for sale or for free. This would be a serious infringement, illegal piracy and Production Posse will pursue thieves through legal measures.

3. User Provided Content
Portions of the Service and Content on the Websites are submitted by you and other users ("User Provided Content"), to which you may contribute appropriate material. For User Provided Content, we are merely hosting and providing access as well as providing tools to post and share content, and we cannot accept any liability whatsoever with regard to such material (including with respect to its accuracy). While we cannot preview or monitor the User Provided Content, we may apply, at our discretion, automated filtering tools monitor and/or delete any content that Production Posse believes to be in violation of this Agreement (for example, we could use automated tools to suppress obscene content). We reserve the right, but do not have the obligation, to act expeditiously to remove or disable access to any User Provided Content that we believe, in our sole discretion, violates these Terms or is illegal, obscene, indecent, or defamatory, incites racial or ethnic hatred, or violates the rights of others, and we may terminate your use of the Service in these circumstances. The decision to upload User Provided Content onto the Websites is your responsibility and you should only submit or share User Provided Content that belongs to you (or where you have obtained all necessary permissions or consents) and that will not violate the rights of others. Be aware that copyright and other intellectual property rights will normally vest in the creator of the material in question and you should not reproduce or submit anything without permission of the owner. By submitting User Provided Content to the Websites, you represent that you have the right to do so, and that you have obtained any third party consents where required (e.g., under data protection or intellectual property laws). Upon our request you agree to furnish Production Posse with any documentation, substantiation and releases necessary and reasonably required to verify and substantiate your compliance with this provision.
Subject to these Terms and restrictions on data processing in our Websites Privacy Statement, as amended from time to time, you grant Production Posse and its Group Companies a non-exclusive, transferable, sublicenseable, world-wide, royalty-free license for the maximum amount of time permitted by applicable law to host, store, copy, publish, distribute, provide access to and otherwise use User Provided Content uploaded or otherwise submitted by you to the Websites, including, hosting and access on co-branded services of that material, and to use the data contained in that User Provided Content as search results and to integrate that data into the Service as Production Posse or its Group Companies deems appropriate on or through any media or medium and with any technology or devices now known or hereafter developed or discovered. This license continues even if you stop using the Websites or the Services. Production Posse may scan, image and/or create an index from the User Provided Content you submit. In this situation, you grant Production Posse and its Group Companies a license to the User Provided Content as described above and Production Posse will own the digital version of documents created by Production Posse as well as any indexed information that Production Posse creates. Except for the rights granted in this Agreement, Production Posse acquires no title or ownership rights in or to any User Provided Content you submit and nothing in this Agreement conveys any ownership rights in such User Provided Content on the Websites. Any submitted content may be held or used by the Production Posse site indefinitely.
Any contact forms on the site are used primarily for marketing purposes. Users who fill these in will be opting in for marketing materials. Users can unsubscribe easily from within any of our emails, or by emailing us at: productionposse@iwf.com and requesting to be unsubscribed.

4. Your Compliance Obligations
Generally, you must comply with all applicable laws and refrain from infringing any third-party rights or interests (including, without limitation, privacy and intellectual property rights) and you shall not knowingly, wilfully or recklessly submit inaccurate, defamatory or offensive Content to the Websites or other users.

5. Liability Disclaimer
No Warranty. We do not extend or express any warranties or representations as to the quality and/or accuracy of the Content, Websites or Service, and we expressly disclaim and exclude any implied warranties, conditions and/or representations to the maximum extent permissible under applicable law. Without limiting the generality of the foregoing, we offer the Service on an "as is basis" and (i) we do not accept responsibility for any use of or reliance on the Websites, Content or Service, or for any disruptions to or delay in the Service; and (ii) we do not make any representations as to the accuracy, comprehensiveness, completeness, quality, currency, error-free nature, compatibility, security or fitness for purpose of the Websites, Content or Service. Furthermore, Production Posse does not guarantee the adequacy of the Service or the Websites or compatibility thereof to your computer equipment or environment. Production Posse does not warrant that the Websites, the Service, its servers, or any emails which may be sent from Production Posse are free of viruses or any other harmful components.

Limitation of Liability. We limit our liability to the maximum extent permissible under applicable law. In particular, we shall not be liable for any damages that we cause unintentionally and we shall not be liable to you for any of the following types of loss or damage, whether in contract, tort (including negligence) or otherwise (whether such loss or damage was foreseeable, known or otherwise): (i) loss of revenue; (ii) loss of actual or anticipated profits; (iii) loss of the use of money; (iv) loss of anticipated savings; (v) loss or corruption of, or damage to, data, systems or programs; or (vi) any indirect or consequential loss or damage howsoever caused, provided that nothing in these Terms will be interpreted so as to limit or exclude any liability which may not be excluded or limited by law. If you are using the Service as a consumer, your mandatory, statutory consumer rights shall be unaffected.

Liability Cap. Except in respect of liability which cannot be limited or excluded (as set out above), our total liability to you whether in contract, tort (including negligence) or otherwise is limited to the greater of (a) €100 for each claim or series of connected claims, up to an aggregate of €200 for any number of incidents (whether or not connected) in any 12 month period, or (b) the aggregate fees received from you in connection with the Service in the 12 month period preceding the incident on which your claim is based.

No Liability or Endorsement for Third Party Services. Production Posse may, from time to time, provide opportunities to users of the Service to link to or buy services from third parties. Websites of those third parties may be subject to terms and conditions different from those applicable to those websites and it is your responsibility to ensure that you have read and understood them. Production Posse makes no warranty concerning, is not responsible for and does not endorse any third party provided goods or services, and you agree that any recourse for dissatisfaction or problems with those goods or services will be sought from the third party provider and not from Production Posse.

Exclusive Remedy. Without prejudice to the foregoing provisions of this clause 5, if you are dissatisfied with any portion of the Service, or with any clause of these Terms, as your sole and exclusive remedy you may discontinue using the Service and Websites. If you are a paying subscriber and you terminate for our breach or important cause after providing us with a 30 day cure period during which we are unable to cure, we will refund any pre-paid fees on a pro-rated basis to you.

6. Termination
If we decide to discontinue use of the Websites or Service, or if you breach these Terms, we may suspend or terminate your access to the Websites and Service.

7. Additional Guest or Subscribing Member Terms

7.1. Registration and Security

7.1.1 As part of the registration process, you will provide Production Posse with your email and will be sent a password. You must provide Production Posse with accurate, complete and updated registration information. Failure to do so will result in breach of these Terms. You understand that you may not (i) select or use a name of another person with the intent to impersonate that person; (ii) use the rights of another person without authorisation; or (iii) use a name that is offensive to a reasonable person.

7.1.2 You must immediately notify us by regular mail or by email at productionposse@iwf.co.uk of any known or suspected unauthorised use(s) of your account, or any known or suspected breach of security, including loss, theft, or unauthorised disclosure of your password or credit card information. You are responsible for maintaining the confidentiality of your password. You will never be required to reveal your password to any representative or agent of Production Posse.

7.1.3 You are responsible for all usage or activity on the Websites via your account. Distribution of your password to others for access to the Websites or Service is expressly prohibited and shall constitute a breach of these Terms. Any fraudulent, abusive, or otherwise illegal activity may be grounds for termination of your account, at our sole discretion, and you may be referred to appropriate law enforcement agencies.

7.2. Subscribing, Fees and Payments

7.2.1 Continuous Service Membership. The subscription is not confirmed until the validation of payment and once the sum is credited to Production Posse. The acceptance of the contract by completing payment during the subscription process has the same value as a handwritten signature. At the same time you complete the subscription process you will be sent a confirmation email recalling the terms and conditions of your subscription and your subscription will then commence. It is recommended that you keep this email and/or print it out. Subscriptions are continuous. This means that once you have become a subscribing member, you accept that your subscription will be automatically renewed from one subscription period to the next at the then applicable rate and your credit/debit card will be charged based on the subscription package (annual, quarterly, monthly, etc.) you have chosen. Charges should be processed within 24 hours after the subscription request has been submitted by you.
Prior Notice of Renewal
In the case of yearly and six monthly subscriptions, you will be notified by email at least twenty eight (28) calendar days before your then current subscription will end, notified of the renewal price, asked to correct any information which has changed and given the opportunity to "opt out" of your renewal. By purchasing a subscription you confirm that you are the holder of the payment card or account from which payment will be taken, and/or are authorised to use that payment card or account for the transaction and any renewals.

7.2.2 Cancellations and refunds.
Notwithstanding the provisions of Clause 7.2.4, all first time subscriptions for periods longer than one month can be cancelled at any time during the 30 days after the time your subscription commences and you will receive a full refund for that subscription period. All renewals of subscriptions for periods longer than one month can be cancelled at any time during the 7 days after the time subscription renews and you will receive a full refund for that renewed subscription period.

Refunds are not available in respect of subscriptions or renewals of subscriptions for periods of one month or less.
If you wish to cancel your subscription or subscription renewal and claim a refund you must notify us by end of business (5:00 p.m. GMT) on the 30th or 7th day, as applicable, by calling our Member Services number 01668 217905. This is a UK number, the cost to you is region specific, but is your responsibility. This is available from Monday to Friday and 9:00 a.m. to 5:00 p.m. Alternatively, send us an email to productionposse@iwf.co.uk providing the following information:

Subscription type (UK/Ireland collection, etc.)
Email address used when subscribing
Phone number including country code
Country
Any other key points you wish to make.

All refunds will be credited to the credit/debit card or account to which your subscription was charged. Please allow a reasonable time for the refund to be charged back to your card or account.

7.2.3 Opting Out of Renewal. If you wish to terminate your subscription at the end of your current subscription period you must notify us at least two calendar days before the renewal date by calling our Member Services number 01668 217905. This is a UK number, the cost to you is region specific, but is your responsibility. This is available from Monday to Friday and 9:00 a.m. to 5:00 p.m. Alternatively, send us an email to productionposse@iwf.co.uk providing the following information:

Email address used when subscribing
Phone number including country code
Country
Any other key points you wish to make.

Please ensure that you correct any information which has changed in respect of your payment details to prevent your subscription lapsing due to us being unable to process your payment.

If you do not let us know that you want to terminate your subscription as set out above, the payment for the renewal period of the subscription will still be made.

In respect of prize draws, competitions, offers, promotions or trials, the specific terms and conditions that apply may be different from these Terms; please ensure you have noted down the relevant terms, including any cancellation dates or price changes when a promotion or trial ends.
The renewal of the subscription takes place subject to the Terms in force on the date of renewal.

7.2.4 Withdrawal. Once your subscription has commenced, you can immediately access the service and consequently, you do not have any cancellation or withdrawal rights under Regulation 14 of the European Union (Consumer Information, Cancellation and Other Rights Regulations) 2013 or other laws implementing Article 9 of the Consumer Rights Directive (2011/83/EU).

7.2.5 Prices. The price of the Service is expressed in the relevant local currency of the Websites. Acceptable payment methods will be displayed at the time payment is made. Each renewal of your subscription will be at the price that you were originally charged for that subscription when you subscribed unless otherwise stated or there is a change in your subscription price. Subscription prices may be changed by Production Posse at any time and Production Posse shall provide you with appropriate notice of any change in your subscription price prior to the effective date of the new pricing by email or other reasonable means such as a notice on the website or in usual member communications. If you do not wish to continue with your subscription due to the new price, you may opt out of renewal as set forth in Section 7.2.3 above.

7.3 Payment

7.3.1 Production Posse operates with Stripe and fully abides by their terms and conditions.

7.3.2 When paying using PayPal, you will be establishing a billing agreement between yourself and PayPal, which will allow PayPal to set up a subscription with you in terms of which PayPal will bill you on recurring basis. You will be billed in US dollars in terms of PayPal’s reference transaction method. The actual amount that you will be charged will be in your local currency and will depend on the exchange rate applied by your financial institution. You acknowledge that the amount billed each month may vary for reasons that include, without limitation, differing amounts due to promotional offers such as gift card redemption, vouchers and promotional code redemption, and you authorise PayPal to charge your Payment Method for such varying amounts.

7.3.3 Stripe is a payment gateway that allows you to purchase a Production Posse membership with your card supplier.
If a payment is not successfully made or collected, due to expiration, insufficient funds, incorrect Payment Details or another reason, you remain responsible for any uncollected amounts and you authorise us to continue to collect payment from your Payment Details and Payment Method for a period of additional days from the date payment is due. Cancellation of monthly subscriptions will automatically occur if monies cannot be taken from your card supplier.

7.3.4 We are not responsible for any acts, failures, delays or omissions on the part of any third party, bank, payment aggregators, or payment facilities providers. You will be responsible for the acts, failures, delays or omissions on the part of any third party, bank, payment aggregators, or payment facilities providers, including those responsible for your Payment Method or for paying us.

7.3.5 We will notify you if payment is unsuccessful and if we are unable to collect payment from your Payment Details or using your Payment Method. We may suspend your subscription to the Production Posse Service if we are unable to collect payment successfully. Even if we suspend your subscription, you will still be responsible for all uncollected amounts which are due to us for the time that you continued to be a subscriber to the Production Posse.

8. Communications Between Production Posse and You
We will contact you (via the Websites, electronic mail, physical mail or otherwise) for the purpose of informing you of changes or additions to the Websites or Service, or of any related products and services. You may opt out of commercial advertising and marketing emails at any time by clicking the unsubscribe link at the end of each such email or by going to My Account and changing your email preferences. Please see our Websites Privacy Statement for further information on how we manage and process your personal information.

9. Assignment
We reserve the right to assign or transfer our rights and obligations under these Terms to any person who agrees to assume and comply with all the obligations set out in these Terms in circumstances that will not affect your rights or our obligations under these Terms. These Terms are personal to you and, as a result, you may not without the written consent of Production Posse assign or transfer any of your rights and obligations under these Terms.

10. Social Behavioural Guidelines
These guidelines are designed with the Production Posse Forum in mind, but translate to all members communicating across all Production Posse platforms, on-site and off-site.

10.1 No abuse, name calling or attacks of any kind will be tolerated. This is a place for constructive, civilized discussion: respect must be shown for all users, at all times.
10.2 Avoid thread-hijacking. Add to a discussion, but if you have a new topic then you must start “a new topic.”
10.3 Excessive cursing and profanity will not be tolerated. Some people find this unsettling/offensive and we must respect one another.
10.4 Keep topics in the relevant forums. This will help keep the Production Posse Forum a tidy and efficient community.
10.5 Be respectful to one another. Understand that other people have alternate views. Some people will have less capable use of grammar and spelling, be tolerant. Please don’t type in BLOCK CAPS.
10.6 Promote yourself, your brand and your projects in the relevant forums – but do it with some class and without being excessive. Over the top or unsuitable pushing/selling will be deleted.
10.7 Do not post any personal data, information or content which is not your own, or that you do not have permission to share. Observe all copyright and piracy laws.
10.8 No pornographic, gore or illegal images or posts.
10.9 Do not discuss or take part in any illegal activities. This is serious, we’re not joking and neither should you.
10.10 You may buy and sell in the relevant forum, but it is entirely done at your own risk. Production Posse has no stake, control in any transactions and offers no aid, cover or insurance. Our recommendation would be to conduct all transactions through a safe service, such as eBay.
10.11 Breaking rules will lead to discussions with admin. Repeated offenses will lead to a site ban and, in all likelihood, a full membership ban.

11. Modifications to these Terms and the Service
Production Posse may modify these Terms (including any of the terms incorporated by reference herein), the Websites, or the Service at any time in order to take account of changes to user preferences, the Internet economy, applicable laws and industry practices, or other reasons. Changes will be posted at the Websites or notified by email, postal mail or otherwise. With respect to any changes to the Terms that involve material adverse changes, such as deteriorated entitlements or higher costs, we will offer subscribers an opportunity to opt out of such changes for the remainder of their paid subscription (with the effect that we continue to apply the previous version of the Terms or allow the subscribers who are opting out to terminate early subject to a pro-rated refund of prepaid fees), if and as required by law. If you do not accept these updated Terms or do not wish to be bound by changes following posted notices you should discontinue use of the Websites and the Service.

12. Privacy Policy

12.1 Production Posse operates a secure privacy policy. The details you supply us with for registration, communication or otherwise offer us for marketing purposes are kept secure.

12.2 We only use your details to engage with you about our services, products and other legitimate interests such as membership site access, payment processing .etc

12.3 Under no circumstances will your data ever be given or sold to a third party.

12.4 Your payment details are securely operated by a secure third party service (Stripe). We never see any of your private payment details.

12.5 By signing up for a form of Production Posse communication, membership, lead magnet or offer (such as a free eBook), you are giving us permission to communicate with you. We only do this within a sensible level and only with suitable/appropriate content that we believe is of legitimate interest.

12.6 Emails received from us can be unsubscribed from. You simply click the "unsubscribe" button at the email footer, and you will automatically receive no more marketing communication. If you continue to be a member of the site, you will continue to receive emails and communication that is related to your membership and payment processing.

12.7 As well as the "unsubscribe" button on our emails, you can contact us at any time to be unsubscribed. This can be done via this email address:

Simply tell us what you wish to happen - i.e. "please unsubscribe me from marketing". We actively take these communications very seriously and deal with them at the earliest opportunity; usually within 48 hours.

12.8 This "Privacy Policy" section refers to your rights with private information you provide us. This is typically your name and email address, but also may encapsulate film related subjects such as "filmmaking role", "website" .etc

Further content provided publicly within the site (i.e. content posted on forums or social media) is an entirely different matter and is covered in section 3 of these terms, conditions and policies.

13. Your Data and Our Website Platform/Plugins

13.1 Our website is constructed on a standard Wordpress platform using a number of well known plugins and components. By signing up or using our site, you give permission for these platforms and plugins to process and use your data as they see fit, in the running of our site and your integration with it.

13.2 Wordpress: If you leave a comment on our site you may opt in to saving your name, email address and website in cookies. These are for your convenience so that you do not have to fill in your details again when you leave another comment. These cookies will last for one year.

If you visit our login page, we will set a temporary cookie to determine if your browser accepts cookies. This cookie contains no personal data and is discarded when you close your browser.

When you log in, we will also set up several cookies to save your login information and your screen display choices. Login cookies last for two days, and screen options cookies last for a year. If you select "Remember Me", your login will persist for two weeks. If you log out of your account, the login cookies will be removed.

If you edit or publish an article, an additional cookie will be saved in your browser. This cookie includes no personal data and simply indicates the post ID of the article you just edited. It expires after 1 day.
Articles on this site may include embedded content (e.g. videos, images, articles, etc.). Embedded content from other websites behaves in the exact same way as if the visitor has visited the other website.

These websites may collect data about you, use cookies, embed additional third-party tracking, and monitor your interaction with that embedded content, including tracking your interaction with the embedded content if you have an account and are logged in to that website.

13.3 WooCommerce: While you visit our site, we’ll track:

Products you’ve viewed: we’ll use this to, for example, show you products you’ve recently viewed
Location, IP address and browser type: we’ll use this for purposes like estimating taxes and shipping
Shipping address: we’ll ask you to enter this so we can, for instance, estimate shipping before you place an order, and send you the order!
We’ll also use cookies to keep track of basket contents while you’re browsing our site.

When you purchase from us, we’ll ask you to provide information including your name, billing address, shipping address, email address, phone number, credit card/payment details and optional account information like username and password. We’ll use this information for purposes, such as, to:

Send you information about your account and order
Respond to your requests, including refunds and complaints
Process payments and prevent fraud
Set up your account for our store
Comply with any legal obligations we have, such as calculating taxes
Improve our store offerings
Send you marketing messages, if you choose to receive them
If you create an account, we will store your name, address, email and phone number, which will be used to populate the checkout for future orders.

We generally store information about you for as long as we need the information for the purposes for which we collect and use it, and we are not legally required to continue to keep it. For example, we will store order information for XXX years for tax and accounting purposes. This includes your name, email address and billing and shipping addresses.

We will also store comments or reviews, if you choose to leave them.
Members of our team have access to the information you provide us. For example, both Administrators and Shop Managers can access:

Order information like what was purchased, when it was purchased and where it should be sent, and
Customer information like your name, email address, and billing and shipping information.
Our team members have access to this information to help fulfill orders, process refunds and support you.

13.5: WooCommerce Subscriptions: By using WooCommerce Subscriptions, you may be storing personal data and depending on which third-party payment processors you’re using to take subscription payments, you may be sharing personal data with external sources.
For the purposes of processing recurring subscription payments, we store the customer's name, billing address, shipping address, email address, phone number and credit card/payment details.

13.6: Akismet: We collect information about visitors who comment on Sites that use our Akismet anti-spam service. 14. Miscellaneous

14.1 These Terms and any disputes arising out of or relating to these Terms, the Service or the Websites (including contract, tort, statutory and other claims) shall, to the extent permitted by law, be governed by and construed in accordance with the laws of Ireland and subject to jurisdiction of the courts of Ireland. Your mandatory, statutory consumer rights, including in relation to court jurisdiction, shall be unaffected.

14.2 In the event that any term of these Terms is held to be invalid or unenforceable, the remainder of these Terms shall remain valid and enforceable. We can replace ay term which is not valid and enforceable with a term of similar meaning which is valid and enforceable.

14.3 Any failure by us to enforce any term of these Terms shall not affect our right to require such performance at any subsequent time, nor shall the waiver by us of any breach by you of any provisions of these Terms be taken to be a waiver of the provision or provisions itself.

14.4 You agree to indemnify us against all liabilities, claims and expenses that we incur or suffer as a result of any breach of these Terms by you or otherwise as a result of your unauthorised use of the Websites.

Except in respect of liability that cannot be limited or excluded under applicable law, you acknowledge that you have not relied on any representation, warranty, condition or undertaking apart from those (if any) expressly set out herein.
